Corporate Counsel/Sr. Corporate Counsel – Silicon Valley, California

Our client, the worldwide leader in the development and manufacture of telecommunications network enablement and communications products, seeks a mid- to - senior level lawyer for its Communications and Commercial Optical Products division.  This position will report directly to the Senior Vice President & General Counsel.

The successful candidate will have extensive experience in negotiating complex, multi-party commercial transactional agreements including product and service sales, purchasing, operations, software and intellectual property licensing, and technology development matters.  Knowledge of corporate organizations, compliance (FCPA, codes of conduct, business ethics, etc.), regulatory matters, basic financial accounting such as revenue recognition, risk management, and comfort with the use of contract management systems and tools, are requirements.  In-house experience is required and background in the global telecommunications industry is strongly preferred.

The successful candidate will be the legal department’s primary business partner for a large ($700M+ in annual revenues) business segment, and will provide a variety of general corporate, commercial and intellectual property legal services to in-house clients, primarily within the segment’s business units throughout North America and EMEA.  The role will interface directly with the segment’s senior management team serving as a legal and strategic advisor.  This lawyer also will closely interface with the legal department’s AsiaPac regional lead and Director of Intellectual Property, as well as the corporate finance and marketing groups and other legal department personnel.

Senior Counsel, Tax – San Mateo, CA (Northern California)

Our client, the nation’s leader in solar power and energy efficiency services and voted one of The 50 Most Innovative Companies in the World in 2011 seeks to add an experienced tax attorney to its growing legal team. This is a newly-created position due to the company’s strong growth and it will report to the VP & Deputy General Counsel – Structured Finance.

The successful candidate will have 6-10 years of experience in federal income tax law, with a particular emphasis on energy tax credits, asset based financing, renewable energy investments, partnerships, leasing, asset acquisitions and complex structured and project finance, preferably in the context of renewable energy deals.   Industry experience in energy or real estate would be looked upon favorably. Legal knowledge regarding complex fund structures and investments, and in particular sale-leasebacks, inverted leases and partnership flip transactions is a plus.  Legal and tax knowledge of fair market valuations, appraisal methodologies, IRS audits and litigation is also a positive.  Top tier law firm and in house experience is preferred, but not required.  Our client will consider relocation candidates and will provide a relocation package. 

This person’s primary responsibility will be to address federal tax issues arising in the Company’s structured and project finance arrangements to put tax equity to work in the solar industry.   This individual must possess tax equity knowledge including the structuring of tax equity deals and must understand the legal tax implications of various types of investments, including structuring to allocate tax and other financial benefits such as 1603 cash grant, ITC and depreciation.  Other responsibilities include:
• Provide monthly legal oversight, assistance and advice on tax issues to the legal and structured finance departments, as well as other Company executives.
• Liaise with outside counsel and respond to information requests. 
• Assist in the review of tax equity and venture funding presentations if necessary.
• Provide strategic tax guidance to senior leaders at Company.
• Liaise with the Company’s fund accountants on tax issues as necessary.
• Independently initiate key analytical tax information to enhance company performance

Chief Patent Portfolio Strategist - Silicon Valley

Our client, a leading networking company, seeks an experienced IP attorney to serve as the company’s lead patent portfolio specialist.  The ideal candidate will have a law degree and a minimum of 12 years of experience in portfolio development and licensing. As part of the IP team, this Director level position will report to the VP/Deputy GC of IP.  A background in EE/CS or significant software experience and registration with the USPTO is required.

Duties include patent landscape assessment in order to guide decision making about portfolio development and IP strategy.  The assessment will be based on high-level patent analytics, business intelligence, practical forecasting of anticipated technical developments, as well as financial modeling.  Duties also include patent strategy development and implementation based on the IP landscape, the company’s business priorities, as well as detailed interchange with the company’s senior technology and business leaders.  The chief portfolio strategist will partner with the legal department, engineering, and business colleagues to devise and execute realistic and impactful steps to implement the strategy.
