Product Counsel – San Francisco Bay Area (South Bay)

Your Responsibilities

  • Advise on open source use and help evolve and manage the open source compliance program
  • Partner with engineering and product teams to proactively identify areas for improvement and help business stakeholders structure and deploy new programs
  • Work with lead privacy counsel to support the product and engineering teams
  • Work with the commercial legal team globally to support and facilitate negotiation of product-specific terms with customers and suppliers (procurement), including security, data privacy and compliance.
  • Develop and deliver training and communications relating to product development and licensing topics

Required Qualifications

  • 4+ years of legal experience in the technology sector, with a background in technology transactions (demonstrated track record of creating and negotiating inbound licenses, joint development agreements, datacenter/cloud platform infrastructure procurement contracts, partner program agreements)
  • Experience in negotiating outbound hosted and on-premise license agreements
  • Track record of successfully launching company-wide initiatives a plus, including creating and deploying new forms, processes and playbooks to support new and evolving business requirements
  • Qualified to practice in at least one U.S. state, preferably California, with a law degree from a reputable law school
  • Working knowledge of open source licensing and compliance
  • Understanding of national and international privacy laws, a plus

Corporate Counsel – Silicon Valley

A global leader in memory, storage and high performance computing solutions for the electronics industry, is seeking to hire an attorney with experience in federal government contracts. This professional will report directly to the Chief Legal Officer. The successful candidate will handle all government contracts and government contracting compliance and will tackle a broad array of commercial and technology agreements with vendors and customers, including manufacturing and supply agreements, joint development agreements and IP licensing; also support M&A transactions, corporate governance and compliance programs. Responsibilities include:

  • negotiation and administration of government contracts;
  • advising on FARs, security clearances, export controls and ITAR;

General Counsel (U.S.) – Palo Alto, CA

Our client, OYO, one of the fastest growing hospitality companies in the world, is seeking to hire a world-class General Counsel to serve as its top U.S. legal executive. This executive will report directly to the U.S. CEO. Solutus Legal Search has been exclusively retained on this highly coveted engagement.

The General Counsel will be instrumental in preparing the organization for IPO readiness for listing in the US. S/he will provide broad legal and business counsel to the CEO, the management team and the board of directors. S/he will establish the legal department in the U.S. and will work closely with executives to create a broad set of domestic legal policies as the company expands its business and prepares for explosive growth in the U.S. This will require not only the ability to think critically and strategically, but will also require the ability…and desire to hustle and perform the “blocking and tackling” legal work necessary to protect the company. The ideal candidate will possess 20+ years of legal experience (including management experience), at a top law firm as well as a hypergrowth company. General Counsel and IPO experience are strongly preferred. This legal executive will serve as a hands-on business partner with the ability to think strategically and work diligently in a rapidly scaling global environment. Substantively, the General Counsel will have a proven background in a wide range of areas including general corporate, corporate governance, litigation, antitrust, real estate, commercial transactions, risk management, regulatory and government policy. Experience with a hypergrowth company, hospitality company, capital markets and/or large technology will be an added advantage.
