Our client, the leading global provider of networking solutions is seeking a technology transactions attorney for its growing legal department.  The successful candidate will have at least 5 years of commercial experience in sales transactions and in negotiating and drafting commercial transactions such as distributor agreements, value added reseller agreements and services agreements.  Experience with revenue recognition and other accounting issues that arise in commercial transactions with large software or telecom companies is a plus.   Law firm and in house candidates will be considered, but in house experience is preferred.  Local candidate only.

This attorney will be responsible for supporting commercial transactions for the company and will require interactions with customers as well as a broad spectrum of internal functions, including product groups, sales, services, operations and finance.

Primary Responsibilities Include:  

• Provide analysis and advice on commercial matters for the company.
• Draft, negotiate and review commercial contracts, including but not limited to, agreements relating to pricing and customer relationships, licensing, distribution, consulting, confidentiality and other business and legal documents.
• Consistently anticipate, guard against, provide timely evaluation and guidance of, and propose mitigation strategies for and advise management of potential risks in contractual, regulatory, revenue recognition, compliance, financial and legal areas.
• Assist in developing, implementing, improving and reviewing legal and compliance processes, procedures and training.
